STANDARD TERMS & CONDITIONS CHARTER BROKER AGREEMENT
1. ENGAGEMENT: Customer hereby engages Fly Private Limited (herein after referred to as “FPL”) to act as its broker to arrange for the charter services described on the Charter Itinerary, to which these Standard Terms & Conditions are annexed. All charter services will be provided by IAS Medical Limited who are licensed to operate the aircraft for the purpose of the carriage of passengers for valuable consideration. IAS Medical Limited (herein after referred to as “IAS”) are the holder of an air operator’s certificate (AOC) No. GB2392 issued by the UK Civil Aviation Authority.
2. RESERVATIONS: a. All requests for services are subject to acceptance by FPL. Your Charter Itinerary will be delivered by email from FPL providing a confirmation number and the estimated price and specifying the date(s) and departure time of travel, flight segments arranged on your behalf, aircraft type and other requests specified by you when booking your flight. You will be requested to sign and return a copy of the Charter Itinerary signifying confirmation of its contents and consent to these Standard Terms & Conditions. b. Customer understands and acknowledges that the cancellation of any Reservation or portion thereof after booking may result in a cancellation charge of up to 100% of the quoted price for the trip (detailed in 10. Below). c. Customer acknowledges that any change in date, itinerary, or type of aircraft may be considered as a cancellation.
3. PRICE QUOTES: The cost estimate provided to Customer for each specific Charter Itinerary, is subject to the following: a. Domestic and international flights may be subject to taxes. FPL will add the applicable tax, using the current rate, to each charter invoice, and Customer will pay such amounts; b. If a deviation from the original itinerary is requested by Customer and agreed to by FPL or necessitated by Customer’s actions, then the amount owed by Customer to FPL may differ from the original cost estimate. 4. PAYMENT TERMS: Following the receipt of the signed Charter Itinerary, your charter services are deemed to be confirmed and services will be reserved accordingly. FPL require payment in advance for all charters. Cleared funds for the total value of the charter must be with FPL at least 7 days prior to the departure date of the charter. If funds are not received within this time frame, FPL reserves the right to cancel the charter without notice. If a charter is arranged with short notice (defined as departing within the next 7 days) payment terms will be agreed between the Customer and FPL.
5. ACKNOWLEDGMENT OF OPERATIONS: Customer acknowledges that FPL is acting solely as a broker. FPL is not an air carrier and is not operating the flights. The Customer authorises FPL to book the charter services on Customer’s behalf. IAS have sole responsibility, liability and control of all aspects of the aircraft charter services provided to you, including without limitation, aircraft availability and pricing, the commencement and termination of scheduled flights, the operation, regulation condition and safety of the flight, passengers, baggage and cargo and other people and events associated with your air travel, such as crew performance and catering services.
6. SAFETY OF OPERATION: Without limitation, you acknowledge and agree that IAS and/or their pilots will be solely responsible for all decisions regarding safety determinations with respect to the commencement, operation and termination of flights.
7. FORCE MAJEURE: FPL will not be deemed to be in breach of its obligations hereunder or have any liability for any delay, cancellation or damage arising in whole or in part from any act of God, act of nature, acts of civil or military authority, strike or dispute, mechanical failure, lack of essential supplies or parts or for any cause beyond the direct control of FPL or the carrier.
8. DAMAGES: a. Neither IAS nor FPL shall have liability or responsibility for delay, cancellation or failure to furnish any service to be provided to you when caused by mechanical difficulty, weather conditions, acts of god, war, civil commotion, strikes or disputes, government regulation, law, rule or authority, or any causes beyond their reasonable respective control; b. You, your agents, guests or passengers or any employees, if applicable, shall not engage in any act or possess any substance or allow cargo to contain any substance which may result in the seizure or forfeiture, or unsafe operation of the aircraft used in the charter contracted for you by us; c. You shall indemnify and hold harmless FPL, its affiliates and all of their officers, directors, employees, legal representatives and other agents, successors and assigns (the "indemnified parties") from and against any and all liabilities, losses, damages, penalties, costs and expenses on account of any claim, suit, action, demand, proceeding or anything of a similar nature made or brought against any of the indemnified parties as a result of the services performed hereunder on your behalf; d. THE CUSTOMER AGREES TO PAY FOR ANY DAMAGE TO THE CHARTER AIRCRAFT CAUSED BY CUSTOMER, OR ANY EMPLOYEE OR GUEST OF CUSTOMER, NORMAL WEAR AND TEAR EXCLUDED; e. IN NO EVENT WILL FPL BE LIABLE FOR ANY TYPE OF INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHETHER ARISING IN CONTRACT OR IN TORT, EXCEEDING THE AMOUNT PAID BY CUSTOMER FOR THE FLIGHT IN QUESTION.
9. REGULATIONS This Agreement is subject to all applicable rules, regulations, approvals and certifications and is governed by Isle of Man law.
10. CANCELLATION: Terms as set out below: More than 7 days notice to FPL - Customer will be liable for 25% of charter quote 7 days to 48 hours notice to FPL - Customer will be liable for 50% of charter quote Less than 48 hours notice to FPL - Customer will be liable for 75% of charter quote No Show/No Notice to FPL - Customer will be liable for 100% of charter quote
11. EMPTY LEGS: Customers who purchase empty legs acknowledge that they do so accepting risk that if the originating flight is cancelled Fly Private will not be responsible for fulfilling the aforementioned empty leg itinerary.

There are additional special terms which apply to this package. By making a booking, you agree that you accept all of these terms:
- Full payment for your travel arrangements is required at the time of booking. Once booked, the travel costs are entirely non-refundable.
- If you need to make any changes to your travel arrangements, please contact us and we will do our best to assist. However in many cases changes may not be permitted, and any changes which can be made are likely to incur extra costs.
- The cost of this break does not include travel insurance, however comprehensive travel insurance is essential. If you need to arrange travel insurance please contact us.
- If you intend to travel with sporting equipment of any kind, please call us on 01624 654080 before making a booking, so that we can check with the relevant carrier whether space is available and whether any additional costs would apply.
